End User License Agreement (EULA)

This End User License Agreement (“Agreement” or “EULA”) is a legally binding contract between you (“End User”, “you”, “your”) and HyreFox Consultants Limited, a company incorporated under the Companies Act, 2013, having its registered office at 828, Frontier Colony, Adarsh Nagar, Jaipur, Rajasthan – 302004, India (“Company”, “we”, “our”, or “us”), governing your access to and use of theXenhire platform, Xenhire.com and related software, applications, and services (collectively, the “Software”).

By downloading, installing, accessing, or using the Software, you agree to be bound by this EULA. If you do not agree, do not install, access, or use the Software.

1. Grant of License

Subject to your compliance with this EULA, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to:

• Access and use the Software strictly for personal, academic, or internal business purposes;
• Use the Software on compatible devices and systems owned or controlled by you.

This license does not constitute a sale of the Software or any intellectual property rights therein.

2. Scope of Use

You shall not, directly or indirectly:

• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, architecture, or algorithms underlying the Software;
• Modify, adapt, translate, or create derivative works of the Software;
• Reproduce, distribute, sell, lease, rent, or sublicense the Software to third parties;
• Use the Software in connection with any high-risk activity (e.g., medical diagnostics, autonomous vehicles) where its failure could result in serious injury or damage;
• Remove or alter any proprietary notices, trademarks, or labels contained in the Software;
• Circumvent, disable, or otherwise interfere with any digital rights management or security-related features of the Software.

3. Intellectual Property Rights

All rights, title, and interest in and to the Software, including any updates, enhancements, modifications, and derivative works thereof, are and shall remain the exclusive property of HyreFox Consultants Limited and its licensors. This EULA does not convey any ownership rights to you. All rights not expressly granted herein are reserved.

4. AI-Powered Functionality and Disclaimer

The Software includes features powered by artificial intelligence and machine learning algorithms to simulate interviews, analyze responses, and provide feedback. You acknowledge and agree that:

• AI outputs are probabilistic, non-deterministic, and for informational or advisory purposes only;
• The Company makes no warranties or guarantees regarding the accuracy, reliability, or suitability of AI-generated results;
• AI recommendations should not be solely relied upon for critical decision-making (e.g., hiring, admissions).

The Company shall not be liable for any decisions made based on AI-generated outputs.

5. Updates and Modifications

We may provide updates, patches, or enhancements to the Software. Such updates shall be subject to this EULA unless accompanied by separate terms.

You acknowledge that failure to install updates may result in limited functionality or vulnerabilities for which we shall not be held liable.

6. Term and Termination

This EULA shall remain in effect until terminated by either party. We may terminate your license at any time if you breach any terms herein.
Upon termination:

• You must cease all use of the Software;
• Delete or destroy all copies of the Software in your possession;
• Certain clauses (e.g., IP ownership, disclaimers, governing law) shall survive termination.

7. Data Collection and Processing

The Software may collect and transmit personal data and usage analytics as outlined in our Privacy Policy. By using the Software, you consent to such data practices. Where applicable, data may be transferred across jurisdictions. We implement reasonable technical and organizational safeguards to protect such data.

8. Third-Party Components

The Software may include third-party libraries, services, or APIs. Such components are licensed under their respective open-source or commercial licenses. You agree to comply with those terms in addition to this EULA.

9. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Software is provided “as is” and “as available”, without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of:

• Merchantability or fitness for a particular purpose;
• Non-infringement;
• Reliability, security, accuracy, or performance.

The Company does not warrant that the Software will be uninterrupted or error-free.

10. Limitation of Liability

To the fullest extent permissible under applicable law, in no event shall HyreFox Consultants Limited, its affiliates, directors, officers, employees, or licensors be liable for:

• Any indirect, incidental, special, punitive, or consequential damages;
• Loss of data, revenue, or profit;
• Business interruption or reputational damage;
• AI prediction errors or omissions.

Our total liability under this EULA shall not exceed the amount paid (if any) for the license or service in the 12-month period preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates from and against any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Software;
• Your violation of this EULA or applicable laws;
• Any content or data you submit or transmit through the Software.

12. Export Compliance

You agree not to use or export the Software in violation of any applicable export laws and regulations, including those of India, the United States, or other relevant jurisdictions.

13. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of India, without regard to conflict of law principles.
Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Jaipur, Rajasthan, India.
Notwithstanding the foregoing, if you reside in a country with mandatory consumer protection laws, such laws shall apply to the extent required and may override conflicting terms herein.

14. Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between the parties with respect to the Software and supersedes all prior or contemporaneous understandings, oral or written.
